Company securities and Law
The role of shareholders is critical in the listed public companies. This is a key part of corporate governance, and this matter is of particular public importance. With the new laws the requisition of meetings and AGM (Annual General Meetings) in the context of Corporations Act 2011, there is some issues in the shareholder participation. In Corporations Act 2001, there has been made mandatory shareholder participation either by requisitioning meetings, voting at meetings and by participating in Annual General Meetings (AGM). The aim of this report is to understand the Corporations Act 2001 and find out the latest changes done for corporate governance to follow and then identify the issues that occurs because of the shareholder participation in the meetings, voting rights and in Annual general Meetings. This report is followed in 2 parts in context of Corporations Act 2011 and also in context of specific cases where the participation of shareholder leads to the corporate governance issue.
